Terms of Service

1. Agreement to Terms

By creating an account and using our application, iiCaptain ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and iiCaptain.

2. The Service

iiCaptain is a sports team management application designed to help teams organize schedules, manage rosters, track attendance, communicate with team members, and analyze performance. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice to you.

3. User Accounts

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your password and not share your login credentials with others.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

You must be at least 16 years old to create an account. If you are under 18, you confirm that you have obtained parental or guardian consent to use the Service.

4. Team Roles and Responsibilities

Within the Service, users may have different roles such as team owner, administrator, or team member. Team owners and administrators are responsible for:

  • Managing team settings and member permissions appropriately.
  • Ensuring that team members' data is handled in accordance with applicable privacy laws.
  • Obtaining necessary consents from team members before adding their information to the Service.

5. User-Generated Content

You are solely responsible for all data, information, and content, such as match details, training plans, drills, lineups, and messages ("User Content"), that you upload, post, or otherwise transmit via the Service. You represent and warrant that:

  • You have all necessary rights to your User Content.
  • Your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
  • Your User Content does not violate any applicable laws or regulations.

We do not claim ownership of your User Content. However, by providing User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display the User Content solely for the purpose of providing and improving the Service. This license ends when you delete your User Content or your account, except where your content has been shared with others who have not deleted it.

6. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is and will remain the exclusive property of iiCaptain and its licensors. The Service is protected by copyright, trademark, and other laws of the Netherlands and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Uploading any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
  • Uploading content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service.
  • Taking any action that imposes, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Using any automated system, including robots, spiders, or scrapers, to access the Service for any purpose without our express written permission.
  • Impersonating another person or otherwise misrepresenting your affiliation with a person or entity.
  • Circumventing, disabling, or otherwise interfering with security-related features of the Service.

8. Subscription and Payments

Certain features of the Service may require a paid subscription. If you choose to subscribe:

  • You agree to pay all applicable fees as described on our pricing page.
  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan).
  • You may cancel your subscription at any time, but no refunds will be provided for the current billing period.
  • We reserve the right to change our subscription fees upon reasonable notice.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination:

  • Your right to use the Service will immediately cease.
  • We may delete your account and all associated data in accordance with our Privacy Policy.
  • Provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT:

  • The Service will meet your requirements.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the use of the Service will be accurate or reliable.
  • Any errors in the Service will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IICAPTAIN, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability to you for all claims exceed the amount you have paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless iiCaptain and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts in the Netherlands.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and iiCaptain concerning the Service.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting a notice on the Service or sending you an email. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
